2. Services Offered

Beetle and Frog Design LLC specializes in:

• Web Design and Development: Creating custom, strategy-first websites built for clarity, usability, and performance.
• Brand Identity and Design: Developing cohesive visual systems that reflect each client's story and build trust with their audience.
• Conversion Rate Optimization (CRO): Improving website structure, content, and flow to turn more visitors into qualified customers.
• AI Systems (The Hive): Setting up targeted, data-informed systems that attract, capture, and nurture quality leads for local service businesses. AI systems are provided as an ongoing operating service with a monthly retainer. They rely on third-party models and APIs that can experience downtime or behavior changes outside our control, and clients remain responsible for periodic oversight of AI-generated communications with their end customers.
• Website Hosting and Maintenance: Providing secure hosting, uptime monitoring, and ongoing updates for Beetle & Frog–built sites.

Specific deliverables, timelines, and fees will be outlined in individual agreements for each project.

3. User Responsibilities

By engaging with our services or using our website, you agree to:

• Provide accurate, complete information to help us deliver optimal results.
• Follow all applicable laws when using our services or interacting with us.
• Avoid using our website for harmful, fraudulent, or unlawful activities.

4. Intellectual Property

Clients retain full ownership of their lead data, customer records, exported files, and custom website content. Beetle & Frog retains all proprietary rights to its underlying software, AI system prompts, source code, and automation frameworks. You may not duplicate, distribute, or modify our proprietary materials without written consent.

5. Payments and Refunds

Fees for services will be detailed in the project agreement or invoice.

A deposit is required to begin work unless otherwise stated, with the balance due upon project completion or as otherwise stated.

Payments are non-refundable unless specified in your agreement.

Late payments may result in delays or suspension of services and may incur additional fees.

6. Client-Supplied Content

You are responsible for the accuracy and legality of any content, images, or materials you provide to us for use in your website or marketing efforts. Beetle and Frog Design LLC is not liable for errors or damages arising from inaccurate or infringing client-provided content.

7. Disclaimer of Warranties

Our website and services are provided on an "as is" and "as available" basis. While we strive to deliver high-quality results, we do not guarantee specific outcomes, as success depends on factors outside of our control (e.g., industry trends, competition, or external circumstances).

AI systems (The Hive) and other automated services rely on third-party APIs and models (e.g., OpenAI). These dependencies can cause service disruptions, downtime, or changes in behavior outside our control. Automated and AI-driven responses are provided "as is" and operate on set training parameters. While we optimize for accuracy, clients are responsible for periodic oversight of AI-generated communications sent to their customers, and Beetle & Frog is not liable for third-party API downtime, model output inaccuracies, or decisions made based on such output.

8. Limitation of Liability

To the maximum extent permitted by law, Beetle and Frog Design LLC is not liable for indirect, incidental, or consequential damages related to the use of our services or website. Our total liability is limited to the fees paid for the specific service in question.

9. Third-Party Tools and Links

We may recommend or integrate third-party tools or services (e.g., analytics platforms, hosting providers). While we vet these tools for quality, Beetle and Frog Design LLC is not responsible for their performance or terms.

10. Termination of Services

Either party may terminate a service agreement with written notice. Upon termination, you are responsible for payment of services rendered up to the termination date. We may also terminate services without prior notice if you breach these terms.

11. Governing Law

These Terms of Service are governed by the laws of the State of California. Any disputes arising from or relating to these terms, the website, or services provided by Beetle and Frog Design LLC shall be resolved in accordance with California law. Jurisdiction for any legal action will be exclusively in the courts located in Riverside County, California.
